The Certificate of Representation is a document issued and signed by a Notary Public, confirming all the information available and filed at Companies House in relation to a certain company. In many foreign jurisdictions, when it comes to recognising the authority of an individual within a UK company, they need official confirmation about all the company details and authority of all the directors, shareholders, or authorised representatives. In this respect, the Notary can run a search within Companies House to retrieve all the information available concerning a company that was incorporated and is up to date with all the filing requirements. A certificate of representation confirms the company’s current name, any previous names, its registered office, list of current directors, list of shareholders, and identifies who the persons with significant control are.

The Notary will also be able to confirm the authority of a director/s or authorised representative/s to execute documents on behalf of the company (such as Powers of Attorney) by obtaining a corporate resolution/minutes or any other official corporate document through which the company authorises that person to represent and bind the company.

Once the Certificate of Representation is completed and signed by the Notary, it will need to be legalised by means of the Apostille of the Hague Convention, so it can be used in any foreign country.
